Terms of Use

The following describes the terms under which Save On Stitch Inc. ("Save On Stitch," "we," "our," or "us") provide the custom-logo decorated services and/or products (the "Service") to customer of Save On Stitch Inc. (you, the customer, or the Buyer). By using the Service, you accept the Save On Stitch Terms of Services and the following terms, conditions, and policies (collectively, the "Agreement").

Business representations. If you deal with us on behalf of a business, you represent to Save On Stitch that you have the authority to bind that business and that your acceptance of this Agreement will be treated as acceptance by that business.

Description of Services

General Services. The Save On Stitch Service allows you to design and decorate your own custom logo'ed products. Our services may include the following: collecting order information, providing digital proof of custom products, producing logo decorations as per order confirmation, providing product tracking information if applicable. Note the above list of services is neither extensive nor exclusive, the type of services provided for each order is determined by Save On Stitch based on individual order circumstances.

Logo Setup. Setup's required by Save On Stitch production process remain the property of Save On Stitch unless explicitly requested and fully paid for by the Buyer. This includes, but not limited to, digitized files used in embroidery, screens and films used in screenprinting, print-ready files used in other printing services. The cost to purchase the aforementioned properties from Save On Stitch is subject to quote by Save On Stitch at its sole discretion on a case-by-case basis.

Quote. Quote given by Save On Stitch expires after 30 days unless explicitly specified otherwise.

Referrals to Other Suppliers. Save On Stitch may at times refer our clients to other affiliated or independent third-party suppliers or contractors ("Linked Parties"). These Linked Parties are not under Save On Stitch control, and are provided solely as a convenience to our clients. Save On Stitch is not responsible for and does not necessarily endorse the products or services of such Linked Parties. You will need to make your own independent judgment regarding your interaction with them.

Artwork Approval

Save On Stitch provides digital proof to confirm artwork details. It is the customer's responsibility to ensure that the proof is correct in all areas. Please be sure to double-check spelling, grammar, layout and design before approving artwork.

If a proof containing errors is approved by the customer, customer is responsible for payment of all costs of production including setup charges and/or any substrates, as well as any corrections and reprints if requested.

The customer is 100% responsible for approvals of Copyright, Trademark and Licensing Agreements of artwork.

Customer's confirmation on artwork approval is contractually binding for payment of all services rendered.

All artwork must be approved by the customer in writing (either through email responses, signatures, or clicking the "Confirm Order" button on Save On Sitch online order system as provided through Save On Stitch website) before a job can be entered into production.

Conditions of Use

As a condition of use, you agree to the following:

  • You will not email, upload, post, transmit, or otherwise make available any content that is in violation of copyright law, trademark law, or any other law protecting intellectual property in any jurisdiction, or that violates an individual's right to publicity or privacy. This includes but not limited to all registered trademarks, logos, copyrighted materials.
  • You will not email, upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • You will not email, upload, post, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," "affiliate links," or any other form of solicitation.
  • You will not violate any local laws in your jurisdiction (including but not limited to intellectual property laws).
  • You will not use the Service for any illegal or unauthorized purpose.
  • In the event that Save On Stitch is to decorate at the request of a buyer a likeness of a product or logotype provided by the Buyer, Buyer hereby represents that said likeness is being produced with the knowledge and consent of the individual or entity having the rights thereto. On request of Save On Stitch, Buyer shall provide us with evidence of authority to produce such likeness.
  • Buyer agrees to hold Save On Stitch free and harmless from all liability and indemnify Save On Stitch for any loss, damage or injury, which Save On Stitch may suffer as a result of producing logos or products as confirmed by the Buyer. The obligation of the buyer shall extend to payment for all legal fees and other out-of-pocket costs incurred by Save On Stitch as a result of the product or logo reproduction requested by the Buyer.
  • By submitting User Content as set forth above, you hereby do and shall grant to Save On Stitch and its successors, assigns, and third party service providers, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, create derivative works based on, distribute, publicly display, and publicly perform, the User Content solely for purposes of providing you with the Service and advertising and promoting the Service - including, but not limited to, through the Save On Stitch website and through Save On Stitch social media channels in any medium and by any means currently existing or yet to be devised.

Limitation of Liability

At Save On Stitch, we strive to ensure that goods ordered are always accurate and of the highest quality. Save On Stitch limits our liability on printed/decorated merchandise as disclosed in the following terms.

  • Screenprint Misprint Allowance. Misprints in screenprint production is allowed at the rate of 2%. If exact quantity/sizes are required, extra items should be provided in each size. The quantity billed to the customer will reflect the actual / final printed quantity excluding misprints. When the shortage in the delivered merchandise falls within the misprint allowance, Save On Stitch assumes no responsibility to make up for the shortage. Furthermore, in such case of shortage within misprint allowance, if reprint is necessary, the customer must pay for reprinting as an entirely new order.
  • Color Match for Screenprint and/or Screenprint-transfers. Save On Stitch stocks limited number of ink colors that are most frequently used based on our past order experiences. For ink colors required beyond our list of stock colors, Save On Stitch reserves the right to charge extra for color matching.
  • Dye Migration in screenprint. Some polyester garments have color dyes that will penetrate through the screenprint ink and thus cause the print colors to shift after being left overnight or longer. This is called "Dye Migration" problem and cannot be controlled in the screenprinting process. The only possible way of prevention is to use additional/special dye-block ink layer to provide extra coverage and will be charged at extra cost. For any print without such dye-block charge, Save On Stitch cannot be held responsible if such dye migration problem occurred.
  • Maximum Liability. For any merchandise that is done through Save On Stitch services, if the merchandise is rendered useless/damaged due to our service error, upon the complete return of the said merchandise, Save On Stitch will reimburse the customer for the cost of merchandise at the customer's original purchase rate, up to the maximum liability amount as specified below, whichever is lower. After such reimbursement, Save On Stitch is the sole owner of the returned merchandise and can dispose of returned merchandise in any manner except resale of the merchandise that exhibits the Customer's logo(s) in any portion.
    • Screenprint Maximum Liability. For misprints that are in excess of our misprint allowance, the maximum liability covered by Save On Stitch for any misprinted item by our screenprinting service is at $15 (fifteen Canadian Dollar) per item.
    • Embroidery Maximum Liability. The maximum liability covered by Save On Stitch for any damaged item by our embroidery service is at 15x (fifteen times) the embroidery cost per item.
    • Digital Printing Service Maximum Liability. The maximum liability covered by Save On Stitch for any damaged item by our Digital Printing service is at 10x (ten times) the digital printing cost per item.
    • Heat Transfer Service Maximum Liability. The maximum liability covered by Save On Stitch for any damaged item by our Heat Transfer service is at 10x (ten times) the heat transfer cost per item.
    • Additional Liability Coverage. If the customer wants coverage beyond the aforementioned maximum liability for more expensive merchandise, the customer must pay additional fees as a form of insurance. The cost of such insurance is directly related to the value of the desired coverage and will be quoted by Save On Stitch on a case-by-case basis.
  • Supplier Errors. All merchandise that was shipped to us with supplier or customer supplied packing list will be checked against item details described in the confirmed order. Specifically, the hard copy of the packing list that comes with the merchandise will be compared with your purchase order submitted to Save On Stitch. While we try to identify supplier errors as much as possible, we will not physically go through actual packages before production. If actual merchandise discrepancy is found during production, we will try to the best of our ability to save the merchandise so that it can be either returned to supplier or be used by the customer, however, such rectification may not always be possible and Save On Stitch assumes no liability on any loss or damage, direct or indirect, caused by any supplier errors found during or after production is done.
  • Shipping. Save On Stitch provides shipping services as an extension and value added service to our clients if requested. Our responsibility for any order ends on spot when the package is picked up by couriers or otherwise transferred into the courier's possession in any manner. We are not responsible for any loss, damage, delay, of any kind, direct or indirect, caused by any further course of action after the shipment is passed to courier. Unless otherwise specified by the client, Save On Stitch always ships out via Ground shipping services. Although there is an estimated delivery time, ground shipping service is not a guaranteed service and may be delivered later than the estimated date and couriers cannot be held accountable if the estimated delivery date is missed. If a shipment must be received by certain delivery date, the client has the choice to specify explicitly in writing to Save On Stitch to ship the order by express, air, or otherwise guaranteed service and pay for all associated shipping costs. Without such explicit instruction, all orders will be shipped out on Ground service. Even with guaranteed shipping service, it occasionally happens that the courier may still miss the delivery timeline. The client must keep this in mind and not hold Save On Stitch responsible for any loss, direct or indirect, of any kind or nature, due to the delay in shipment. If the shipment is shipped out in time from Save On Stitch (with courier estimated delivery date being acceptable by the client), Save On Stitch takes NO responsibility when a shipment is delayed by any courier, for any reason, in any manner, and the client cannot use it as reason or ground for delaying payment or asking credit or asking discount from Save On Stitch.
  • Dispute Resolution. In the event of any controversy or dispute between Save On Stitch and you arising out of or in connection with your use of the Save On Stitch Service, we will attempt, promptly and in good faith, to resolve the dispute. If Save On Stitch is unable to resolve any such dispute within a reasonable time, either party may submit such controversy or dispute to mediation. The costs and fees, including reasonable attorneys' fees, for any such mediation are to be borne by the non-prevailing party. If the dispute cannot be resolved through mediation, then both you and Save On Stitch may pursue any right or remedy available under applicable law.
  • Statute Of Limitations. You agree that, regardless of any statute or law to the contrary, any claim under this Agreement must be brought within two (2) months after the cause of action arises, or such claim or cause of action is forever barred.
  • Exclusions and Limitations. You expressly understand and agree that your use of the service is at your sole risk. Save On Stitch and its subsidiaries, directors, officers, employees, and licensors (the "Save On Stitch affiliates") expressly disclaim all representations, warranties, and conditions of any kind beyond our Limited Liability, including, but not limited to, the implied warranties of merchantability, merchantable quality, fitness for a particular purpose, non-infringement, title or any warranty or condition arising by usage of trade, course of dealing or course of performance. You expressly understand and agree that Save On Stitch and the Save On Stitch affiliates will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages that may be incurred by you, however caused and under any theory of liability. This includes, but is not limited to, any loss of profits, goodwill or business reputation; any loss of data; any cost of procurement of substitute goods or services; or any other tangible or intangible losses that are not specified in our Limited Liability. This also includes any loss or damages that may be incurred by you as a result of (a) any changes that Save On Stitch may make to the Service such as permanent or temporary cessation of the service; (b) the deletion or corruption of or failure to store any user content maintained through our service. The limitations and exclusions of liability above shall apply irrespective of the theory of liability, including contract (including fundamental breach), warranty, product liability, strict liability, tort (including negligence) or other theory, even if we (or our affiliates) have been advised of the possibility of such damages. You specifically acknowledge that Save On Stitch and the Save On Stitch affiliates shall not be liable for user-supplied artwork or the infringing, defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

Return, Refund, and Cancellation Policy

Products you design or order through the Service are customized and unique to you.

Cancellations after printing has begun. Because of the customized nature of these goods, we do not allow cancellations once we start production/printing/assembling an order. Orders enter the production process as early as same day when they are confirmed by the Buyer.

Cancellations before printing has begun. We allow cancellations on orders that (i) have been processed but (ii) have not yet begun the production process. Cancellations in this phase may be subject to a fifteen percent (15%) cancellation fee of the order total. (This cancellation fee covers costs associated with preparing for an order, including artwork processing, digital proofing, logo setup, material preparation costs, restocking fee for supplies/goods.) Orders are processed as early as minutes after they are transmitted, and enter the production process as early as same day after they are confirmed.

Refunds and exchanges. We do not accept refunds or make exchanges beyond our Limited Liability. If, upon receipt of your finished merchandise, you feel that your order was incorrect due to an error on our part, please submit a claim to us within 30 days of your delivery date (the date when you receive the decorated merchandise in hand). Claims are handled on a case-by-case basis and our Limited Liability terms always apply.

Violation of this Agreement - Termination

You agree that Save On Stitch may, in its sole discretion and without prior notice, terminate your access to the Service and/or block your future access to the Service if it determines that you have violated this Agreement or other agreements or guidelines which may be associated with your use of the Service. If Save On Stitch does take any legal action against you as a result of your violation of this Agreement, Save On Stitch will be entitled to recover from you, and you agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to Save On Stitch. You agree that Save On Stitch will not be liable to you or to any third party for termination of your access to the Service.

Indemnification

You will defend, indemnify, and hold Save On Stitch and/or the Save On Stitch Affiliates harmless from and against any and all liabilities and costs (including reasonable attorneys' fees) incurred by Save On Stitch and/or the Save On Stitch Affiliates in connection with any claim arising out of your breach of the Agreement. Save On Stitch reserves the right, but has no obligation, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

General Terms

Entire Agreement. This Agreement is the whole legal agreement between you and Save On Stitch. It governs your use of the Service and completely replaces any prior agreements between you and Save On Stitch with respect to the Service. You may also be subject to additional terms and conditions that may apply when you use or purchase other services from Save On Stitch.

Severability of Terms; Non-waiver of Terms; Assignment. If any portion of the Agreement is held to be invalid or unenforceable, such provision shall be stricken and the remainder of the Agreement enforced as written. If Save On Stitch does not exercise or enforce any legal right or remedy including those contained in the Agreement or arising under applicable law, this will not be taken to be a formal waiver or relinquishment of our rights. Save On Stitch may assign or delegate all rights and obligations under the Agreement, fully or partially.

Changes and Modifications. Save On Stitch reserves the right, at its sole discretion, to change, modify, add, or remove portions of this Agreement at any time. As long as you comply with this Agreement, Save On Stitch grants you a limited, revocable, non-exclusive, non-assignable, non-sublicenseable right to access and use the Service as it is intended to be used and in accordance with this Agreement and applicable law. We grant you no other rights, implied or otherwise.

Notices. Save On Stitch may provide you with notices, including those regarding changes to the Agreement, by email, regular mail, or postings to the Save On Stitch website.
